Letters of Intent (LOI) and Letter of Agreement (LOA)

Purpose

A document that outlines certain understandings between two or more parties before a formal contract is finalized. Normally, these agreements do not constitute a definitive contract, but signifies a genuine interest and intent to execute a future contract with specific terms and deliverables.

Memorandums of Agreement (MOA) and Memorandums of Understanding (MOU)

Purpose

A document describing a cooperative relationship between two parties who wish to work together on a project or to meet an agreed upon objective.

NOTE:  CONFIDENTIAL INFORMATION and/or MATERIAL shall not be shared until the agreement has been signed by all parties.
